Terms of Use

These Terms govern your access to and use of userelayer.com (the "Site") and the Relayer platform (the "Platform"). "You" means either (a) an authenticated user who logs in to the Platform on behalf of a dealership or OEM, or (b) an unauthenticated visitor browsing the Site.
If your organization has executed Relayer's Enterprise or Subscription Agreement, those terms control the paid Services. These Terms supplement—do not replace—any executed agreement.
1. Acceptance
By visiting the Site, creating an account, or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site or Platform.
2. License & Intellectual Property
Limited License. Relayer grants you a personal, non-transferable, revocable license to access the Site and use the Platform solely for evaluation or internal business purposes.
Ownership. Relayer and its licensors retain all intellectual-property rights in the Site, Platform, AI models, text, graphics, trademarks, and software. No rights are granted except as expressly stated.
3. Customer Data
The terms governing ownership, access, use, and handling of data processed through the Platform ("Customer Data") are defined in each client's agreement with Relayer. Where no executed agreement exists, you retain ownership of Customer Data you provide and grant Relayer a limited license to process it solely to provide and improve the Services.
4. Compliance
You are solely responsible for obtaining required consents (including TCPA consent), ensuring communications comply with applicable law, and the accuracy and legality of all Customer Data. Relayer provides tools to support compliance but does not provide legal advice and is not responsible for your compliance.
5. Acceptable Use
You agree not to:
Copy, modify, reverse-engineer, or resell any part of the Site or Platform;
Upload malware, attempt to gain unauthorized access, or disrupt others' use;
Send unsolicited or unauthorized communications through the Platform;
Contact individuals who have not provided proper consent or who have opted out;
Use the Platform to develop a competing product or service.
We may suspend or block access for violations.
6. Accounts & Security
If you create an account, keep credentials confidential and notify us immediately of unauthorized use. You are responsible for all activity under your credentials.
7. Feedback
If you send suggestions or feedback, you grant Relayer a perpetual, royalty-free right to use them without restriction.
8. Third-Party Integrations
The Platform may integrate with third-party systems. Relayer is not responsible for their content, availability, or functionality.
9. Fees & Payment
All fees, payment terms, and refund policies are governed by your agreement with Relayer.
10. Disclaimers
The Site and Platform are provided "as is" without warranties of any kind. Relayer disclaims all implied warranties to the fullest extent permitted by law.
11. Limitation of Liability
To the maximum extent permitted by law, Relayer will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or Platform. Relayer's total aggregate liability is limited as set forth in your agreement with Relayer or, where no agreement exists, to the fullest extent permitted by applicable law.
12. Indemnity
You will indemnify and hold Relayer harmless from claims arising out of: (a) your breach of these Terms, (b) your violation of any law, (c) Customer Data you provide, or (d) your misuse of the Platform.
13. Termination
Either party may terminate access at any time with written notice. Customer Data retention and export following termination are governed by your agreement with Relayer; where no specific terms exist, Customer Data is available for export for 90 days, then deleted. Sections 2–12 survive termination.
14. Modifications
We may update these Terms at any time by posting a revised version and updating the "Last Updated" date. Continued use after changes means you accept the revised Terms.
15. Governing Law & Venue
These Terms are governed by Delaware law. Any dispute will be resolved exclusively in the state or federal courts located in Delaware.
